The governing document of Riverside FC

Introduction

This Constitution governs Riverside FC, a Community Benefit Society registered with the Financial Conduct Authority (Registration No. 12345R).

Name and Objects

Name

The name of the Society shall be "Riverside Football Club Community Benefit Society Limited" (trading as "Riverside FC").

Objects

The objects of the Society are:

  1. To promote community participation in healthy recreation by providing facilities for playing football
  2. To provide a community facility for the benefit of residents of Riverside and surrounding areas
  3. To foster a community spirit through the provision of football and related activities
  4. To promote inclusion and equality of opportunity in football

Membership

Eligibility

Membership is open to any person over the age of 16 who supports the objects of the Society.

Member Rights

Members have the right to:

  • Attend and vote at General Meetings
  • Stand for election to the Board
  • Receive annual accounts and reports
  • Access the Society's register of members

Governance

Board of Directors

The Society shall be governed by a Board of Directors consisting of:

  • Minimum 5, maximum 9 directors
  • Elected by members at the AGM
  • Directors serve 3-year terms
  • Maximum 3 consecutive terms

Officers

The Board shall appoint from among its members:

  • Chair
  • Vice-Chair
  • Treasurer
  • Secretary

Meetings

  • The Board shall meet at least 6 times per year
  • Quorum: 4 directors

General Meetings

Annual General Meeting

An AGM shall be held each year within 6 months of the financial year end to:

  • Receive accounts and reports
  • Elect directors
  • Appoint auditors
  • Conduct other business

Extraordinary General Meetings

May be called by:

  • The Board
  • Members holding 10% or more of shares

Voting

  • Each member present has one vote
  • Resolutions require simple majority unless otherwise specified
  • Constitutional amendments require 75% majority

Finance

Financial Year

1st June to 31st May

Accounts

  • Accounts prepared in accordance with CBS regulations
  • Audited if income exceeds £250,000

Asset Lock

Assets may only be used for the Society's objects. Upon dissolution, assets transfer to another community organisation with similar objects.

Amendments

This Constitution may be amended by a resolution passed by 75% of members voting at a General Meeting, subject to:

  • 28 days' notice of proposed changes
  • FCA approval where required
